Default Merger done by 10/01

So what happens if we don't have a pilot contract by 10/1...will the merger still have hit its 10/1 deadline? What does the signing of the pilot contract have to do with it...if anything.

What 10/1 means is UAL and CAL are owned by United Continental Holdings, Inc. and since they are one company legally, all information about each company can be shared.

There is no direct tie in with the 10/1 merger closing date and the JCBA.

From the transition agreement:
6-C. Regulatory and Political Processes. Assuming
the Airline Parties are continuing in good faith
to meet their obligations under Section 2 hereof,
ALPA will not oppose the Airline Parties’ efforts
to obtain regulatory and political support and/or
approval for the merger and Single Operating
Certificate.
The 10/1 date is just the corporate "closing" date. The TPA has a target of Oct 5th to conclude negotiations. Absent a complete capitulation by management, that goal will not be met.

It also appears that since some "progress" is still being made at the negotiating table, we probably won't apply for mediation mid-October. Its my understanding that the NMB would require us to be further along in the process before we can apply for their help.

Transition agreement:
2-K. Mediation for a JCBA. If the JNCs do not reach
a tentative JCBA by October 12, 2010, the Parties
(unless they otherwise agree) will apply to the
NMB no later than October 14, 2010 under Sections
5 and 6 of the RLA, for mediation of the JCBA. If
at any time the JNCs reach a tentative JCBA but
it fails to be approved, ratified or executed under
ALPA procedures, the Parties will apply for or
resume the NMB’s mediatory services, unless they
agree not to do so.
The Oct 1 date should speed up negotiations a bit as the complex restrictions on what info and planning that can be done between CAL and UAL will be lifted and the business plan will thus be more clear and available.

October 5th is just an arbitrary date that doesn't have any meaningful significance. Sort of in the same category of "binding arbitration" in the case of USAirways or the Age 60 rule - it is "conceptual" only.
