An Indianapolis-based airline said Tuesday that it will buy Midwest Airlines, a day after announcing plans to buy bankrupt Frontier Airlines.
Milwaukee-based Midwest has a hub at Kansas City International Airport, and Denver-based Frontier flew about 10 flights out of KCI before it filed for bankruptcy in April 2008.
Midwest had a 6.4 percent market share at KCI in April — the most recent month for which the Kansas City Aviation Department has data — and Frontier had a 3.1 percent market share. Frontier occupies two gates in KCI’s Terminal C, and Midwest occupies three gates in Terminal A.
Republic Airways Holdings Inc. (Nasdaq: RJET) will buy all the equity in Midwest from TPG Capital, a Fort Worth, Texas, private equity firm.
Republic also will buy TPG’s $31 million secured note from Midwest. Consideration will be $6 million in cash and a $25 million, five-year note, which may be converted to Republic stock at $10 a share. In addition, TPG will have the right to nominate a member to the Republic board.
The transaction is subject to customary regulatory approvals and is expected to close in four to six weeks.
“The question is (about) the intention of Republic and what they plan to do if they end up owning both these carriers,” Justin Meyer, manager of air service development for the Kansas City Aviation Department, said in a Wednesday interview. “This is (Republic’s) first foray into operations on this scale, where they actually own the airline. I would assume Republic will continue doing what Midwest and Frontier have been doing, but it could make sense at some point to make changes for economy of scale.”
Republic uses an airplane model that’s “the right size plane for this market,” Meyer said.
“This is really a bold move by Republic,” he said. “Everybody’s saying it’s a buyer’s market right now.”
Republic operates Chautauqua Airlines, Republic Airlines and Shuttle America. Those airlines offer scheduled passenger service on about 1,200 flights daily to 101 cities in 37 states, Canada and Mexico through airline services agreements with seven U.S. airlines, including Midwest.
Midwest will become a wholly owned subsidiary and will continue to operate as a branded carrier.
Rick Schifter, a partner with TPG Capital, said the transaction secures a more certain future for Midwest.
“At the time we acquired Midwest, we envisioned that it would ultimately become part of a larger airline and network, as the ability to operate as a small, independent carrier is increasingly challenging in this economic environment,” he said.
On Monday, Republic said it reached an investment agreement with bankrupt Frontier Airlines that will result in Frontier becoming a wholly owned subsidiary of Republic for a price of $108.75 million.
Republic has been one of three companies financing Frontier’s emergence from bankruptcy. Republic Airlines also is one of Frontier’s major unsecured creditors, having filed a $260 million damage claim for Frontier’s breaking an agreement with Republic to operate regional jet service after Frontier filed for bankruptcy protection.

No he saying what I think everyone can understand except for maybe you. To get to mainline there are filters along the way where less qualified and less desirables are removed. The people at mainline have made it through probably the most difficult filter. I've been at 2 mainline carriers and 2 regionals and if I took the average pilot at both there would be a very noticeable difference. With this transaction the filter that removes the people who really don't belong is removed which in itself could be considered a windfall.

I can't believe this thread is still going. None of what is said here matters anyway, because I think we all know this will be decided through arbitration. I had heard that the new McCaskill-Bond ammendment has only been used once, for US Airways Ground handling integration (?), but I can't find it, and I can't waste any more of my morning looking for it. I heard it went by date of hire, which would be a big step towards a national seniority list, which I believe was also the IBT's official policy (?).

I don't feel for the F9 guys at all. I take that back. I feel for the junior guys that took it in the rear because of the senior guys that were "too good" to fly in the right seat at SW at F9 captain pay. You guys had a chance to join the SWA seniority list and foolishly turned it down and allowed yourselves to get bought and WHOLLY OWNED by a regional airline. Why in the world do you think that you are entitled to more than the employees at the company that BOUGHT you???

I'm merely pointing out that there is a HUGE difference in the quality of pilot at a mainline vs a regional. If two rj puppies had been at the controls of the US air flight instead of Sully, the final words on the CVR transcript would be, "we're gonna hit those buildings dude."
