Small correction. According to the SEC forms, the first $1.15 in ticking fee is also deducted from the final payment. So the deal would close at $29.85. Not $31. I would post the SEC doc I’m referring, but I’m new to APC and don’t know how to post a screenshot.

I found it in 2.1(a).

Basically, $33.50 minus $2.50 (Approval Prepayment Amount) minus the lesser of $1.15 or monthly $.10 payment amount (Additional Prepayment Amount) = $29,85.

Before the November $.10 prepayment is made, the final payment is $30.00/sh
Before Dec prepayment, the final payment is $29.90
After the Dec prepayment, the final payment is $29.85.

correct. Thanks for the link. that’s exactly what I was referring to. Now the great thing is that they will pay a ticking fee of $0.10 per month up to $1.80 but only the first $1.15 gets deducted from the $33.50 price. So the longer this drags out, the more you will actually get paid and the price per share will actually increase above $33.50 in total compensation (assuming you’ve had the stock the entire time)

dumb question but that $33.50 price isn’t for someone who buys the stock today, right? Had to own it at time of announcement? I can’t seem to get a straight answer

so what happens if the redit diamond hand retail investor crowd loads up at the depressed price. What does that do the price they agreed to pay when the have to pay $30 when they paid $10?

Buy low sell high. Spirit has a certain number of outstanding shares. JB agreed to pay each share ~$30 (the $2.50 prepayment has already been paid).

Anyone who owns shares if the merger closes will be paid ~$30 per share they hold. Doesn't matter what you paid for that share. If the merger doesn't close, a Spirit shareholder is likely looking at ~$4 a share. Complete wild a$$ guess. It's a risky risk. Could win big, could lose big.
